Veronica Montemayor



Veronica E. Montemayor joined McCathern’s Houston office as an Associate in 2013. Her practice is focused on corporate transactions, with an extensive background in business and commercial litigation. She has represented a diverse range of clients, from Fortune 100 companies to small local businesses and individuals.

As part of McCathern’s Corporate Services Section, Veronica works on a wide spectrum of transactional matters. She has helped clients form new companies while providing guidance on corporate structure and governance. She has also helped structure private equity offerings for various businesses and counseled clients on securities regulations and exemptions under Regulation D.

In addition, Veronica has negotiated a variety of contracts for clients, including asset purchase and sale agreements, master services agreements, employment agreements, and commercial lease agreements. Her practice also includes intellectual property matters, including trademark registration.

Veronica’s corporate transactional experience is uniquely founded on and coupled with her participation in the firm’s Business Litigation Section and Commercial Litigation Section. In 2016, she served as second-chair attorney in a jury trial involving a business partner dispute, which resulted in a take-nothing judgment in favor of her client. Veronica has represented many other clients, both as plaintiff and defendant, in an array of business torts and contract disputes. This experience allows her to spot issues in transactional matters to prevent clients from being exposed to the risk of future litigation.

Apart from her legal practice, Veronica is highly involved in the legal community. In 2015, she was elected to the Houston Young Lawyers Association’s (HYLA) Board of Directors, and she became Chair of HYLA’s Arts and Entertainment Committee. During her first year on the HYLA Board, Veronica received the HYLA President’s Award for Outstanding Service. In 2016, Veronica was appointed to the Houston Young Lawyers Foundation’s (HYLF) Board of Trustees. She is also a HYLF Fellow. Veronica debuted her singing talent in Night Court’s Lawyermania, an original musical performed by an all-lawyer cast.

When she is not doing lawyerly activities, Veronica enjoys practicing yoga, attending concerts, and traveling. She also serves as President of her homeowners association.
